Acceptance of the Terms of Service

These terms of service are entered into by and between you and Blue Barley, Inc. (“Company,” “we,” “our,” or “us”). The following terms and conditions, together with our Privacy Policy located here (collectively, these “Terms of Service”), govern your access to and use of this website (the “Website”), including any content, functionality, and services offered on or through the website.

By using the Website, or by clicking to agree to the Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy, incorporated herein by reference. Our Services

The Company is a marketplace for users to view different themes, venues, and ideas when planning an event and provides event planning services to assist you in putting together the event (“Services”). If you select an event package on the Website, we can provide you with ideas for venues, vendors, budgeting, booking, and other event needs that we believe can help you host a successful event. However, the Company only provides ideas and assistance with event planning logistics, and it is important that you keep in mind the following:

  • The Company will make suggestions for your event based on its relationships, prior experience, reviews, and other information. However, the Company does not endorse or guarantee any event service provider or other suggestion that it makes. Further, the Company does not guarantee that any results or outcomes from use of the Website or its services. You contract with service providers found on the Website or through the Company at your own risk.
  • The Company may charge you a fee for its Services, which will be discussed prior to billing. All other contracts, payments, cancellations, refunds, and other final logistical matters related to your event are solely between you and the event service provider. You are solely responsible for reviewing all such agreements and contracts and making sure that they meet your requirements. All disputes, refunds, cancellations, and other matters must be resolved with the service provider, not the Company. The Company is not responsible for the act or omissions of the event service providers or other suggestions that it makes, nor is it responsible for any fees, guarantees, agreements, or other policies of the event service providers.
  • The Company will assist you in organizing an event based on your requests and specifications, but you are solely responsible for ensuring that your participants are of an appropriate age, health, and any other parameters necessary for the event.

Fees

The Company will provide you with a proposal outlining its suggestions for the event (“Proposal”). If applicable, the Proposal will include an estimate of all fees and costs for the event using the Company’s suggestions, including any fees due to the Company (“Company Fees”). All other terms and conditions relating to the Proposal will be provided in the Proposal, which you will be required to sign before the Company provides any additional Services. The Company reserves the right to change its fees at any time.

Reliance on Information Posted

The Company makes no guarantees as to the accurateness, quality, or completeness of any information on the Website, and the Company shall not be responsible or liable for any errors, omissions, or inaccuracies in such information or for any user’s reliance on such information. Any reliance you place on such information is strictly at your own risk. You are solely responsible for verifying the information as being appropriate for your use.

The Website may include content provided by third parties. All statements and/or opinions expressed in these materials are solely the opinions and the responsibility of the person or entity providing those materials. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the Website, including, but not limited to, any use of the Website’s content, services, and products other than as expressly authorized in these Terms of Service, or your use of any information obtained from the Website.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Service and any dispute or claim arising therefrom or related thereto shall be governed by the internal laws of the State of California without giving effect to any choice of law provisions.

Entire Agreement

The Terms of Service and our Privacy Policy constitute the sole and entire agreement between you and Blue Barley with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.
